1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and AI Automation Foundry, LLC ("Company," "we," "us," or "our") regarding your use of our artificial intelligence automation services, software, and platform.

By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

2. Services Description

2.1 AI Automation Services

We provide comprehensive artificial intelligence and automation solutions, including but not limited to:

  • Custom AI Development: Tailored AI models and algorithms for specific business needs
  • Process Automation: Workflow automation and business process optimization
  • Conversational AI: Chatbots, virtual assistants, and natural language processing
  • Data Analytics: Machine learning models for predictive analytics and insights
  • Integration Services: API development and system integration
  • Consulting Services: AI strategy, implementation guidance, and training

2.2 Service Delivery

Services are delivered according to:

  • Mutually agreed project specifications and statements of work
  • Industry best practices and professional standards
  • Applicable regulatory and compliance requirements
  • Service Level Agreements (SLAs) as defined in service contracts

2.3 Service Modifications

We reserve the right to modify, suspend, or discontinue services with reasonable notice. We will work with you to minimize disruption and provide suitable alternatives when possible.

3. Account Registration and Access

3.1 Account Creation

To access certain services, you may need to create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorized access or security breaches

3.2 Account Responsibility

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized access to your account due to your failure to maintain security.

3.3 Multiple Users

If your organization has multiple users, you are responsible for ensuring all users comply with these Terms. You may designate administrators to manage user access and permissions.

4. Acceptable Use Policy

4.1 Permitted Uses

Our services may be used for legitimate business purposes, including:

  • Automating business processes and workflows
  • Analyzing data for business insights and decision-making
  • Enhancing customer experiences through AI-powered solutions
  • Improving operational efficiency and productivity

4.2 Prohibited Uses

You may not use our services for:

  • Illegal activities or violation of applicable laws and regulations
  • Infringement of intellectual property rights
  • Harassment, discrimination, or harmful content creation
  • Unauthorized access to systems or data
  • Spam, malware, or other malicious activities
  • Competitive intelligence gathering without proper authorization
  • Creating deep fakes or other deceptive AI-generated content

AI Ethics Compliance:

  • Use AI responsibly and transparently
  • Respect privacy and data protection laws
  • Avoid bias and discrimination in AI applications
  • Maintain human oversight of automated decisions

5. Intellectual Property Rights

5.1 Our Intellectual Property

All intellectual property rights in our services, including software, algorithms, methodologies, documentation, and proprietary technologies, remain the exclusive property of AI Automation Foundry or our licensors.

5.2 Client Data and IP

You retain all rights to your data and pre-existing intellectual property. We will:

  • Not claim ownership of your proprietary data or systems
  • Use your data only as necessary to provide services
  • Implement appropriate security measures to protect your IP
  • Return or destroy your data upon service termination (as requested)

5.3 Custom Developments

For custom AI solutions developed specifically for your organization:

  • You own the specific business logic and configurations
  • We retain rights to underlying platforms and general methodologies
  • Ownership terms for custom code will be specified in service agreements
  • You receive appropriate licenses to use and modify delivered solutions

5.4 Feedback and Improvements

Any feedback, suggestions, or improvements you provide may be used by us to enhance our services. We may incorporate learnings from your project (in anonymized form) into our general knowledge base.

6. Payment Terms

6.1 Fees and Billing

Payment terms are specified in your service agreement and may include:

  • Project-Based: Fixed fees for specific deliverables
  • Time and Materials: Hourly or daily rates for consulting services
  • Subscription: Recurring fees for ongoing services or platform access
  • Usage-Based: Fees based on transaction volume or resource consumption

6.2 Payment Schedule

  • Invoices are due within 30 days of receipt unless otherwise agreed
  • Late payments may incur interest charges of 1.5% per month
  • We may suspend services for overdue accounts after appropriate notice
  • All fees are non-refundable except as explicitly provided in service agreements

6.3 Taxes and Expenses

You are responsible for all applicable taxes, duties, and levies. Reimbursable expenses (travel, third-party services, etc.) will be billed separately as agreed.

7. Confidentiality and Data Protection

7.1 Mutual Confidentiality

Both parties agree to maintain confidentiality of:

  • Proprietary business information and trade secrets
  • Technical specifications and system architectures
  • Strategic plans and competitive information
  • Personal data and sensitive business data

7.2 Data Security

We implement enterprise-grade security measures including:

  • Encryption of data in transit and at rest
  • Access controls and multi-factor authentication
  • Regular security audits and compliance assessments
  • Incident response and breach notification procedures

7.3 Compliance

We comply with applicable data protection regulations including GDPR, CCPA, HIPAA (where applicable), and industry-specific requirements. Additional compliance terms may apply based on your industry and jurisdiction.

8. Warranties and Disclaimers

8.1 Service Warranties

We warrant that our services will be:

  • Performed with professional skill and care
  • Delivered in accordance with agreed specifications
  • Compliant with applicable laws and industry standards
  • Free from material defects for the specified warranty period

8.2 Performance Disclaimers

While we strive for optimal performance, AI and machine learning systems are inherently probabilistic. We cannot guarantee specific accuracy rates, performance metrics, or business outcomes unless explicitly agreed in writing.

8.3 Third-Party Services

We may integrate third-party services (cloud platforms, APIs, etc.) that are subject to their own terms and warranties. We disclaim liability for third-party service availability or performance.

DISCLAIMER OF WARRANTIES:

EXCEPT AS EXPRESSLY SET FORTH HEREIN, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

9.1 Liability Limitations

IN NO EVENT SHALL AI AUTOMATION FOUNDRY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.2 Maximum Liability

Our total liability for all claims arising from or related to these Terms or our services shall not exceed the total amount paid by you for the specific service giving rise to the claim in the 12 months preceding the claim.

9.3 Exceptions

These limitations do not apply to:

  • Gross negligence or willful misconduct
  • Breach of confidentiality obligations
  • Intellectual property infringement
  • Death or personal injury caused by our negligence
  • Liabilities that cannot be limited by law

9.4 Mitigation

You agree to take reasonable steps to mitigate damages and will provide us with reasonable opportunity to remedy any service deficiencies before pursuing claims.

10. Indemnification

10.1 Your Indemnification

You agree to defend, indemnify, and hold us harmless from claims arising from:

  • Your use of our services in violation of these Terms
  • Your data, content, or business processes
  • Your breach of applicable laws or regulations
  • Third-party claims related to your business operations

10.2 Our Indemnification

We will defend you against third-party claims that our services infringe valid intellectual property rights, provided you:

  • Notify us promptly of any such claims
  • Grant us sole control of the defense and settlement
  • Provide reasonable cooperation in the defense

10.3 Remedies

If our services are found to infringe, we may at our option: (i) obtain rights for continued use, (ii) modify the services to be non-infringing, or (iii) terminate the infringing services and refund prepaid fees.

11. Termination

11.1 Termination by Either Party

Either party may terminate this agreement:

  • For convenience with 30 days' written notice
  • Immediately for material breach that remains uncured after 15 days' notice
  • Immediately if the other party becomes insolvent or bankrupt

11.2 Effect of Termination

Upon termination:

  • All rights and obligations cease except those that survive termination
  • You must pay all outstanding fees for services provided
  • We will return or destroy your data as requested
  • Both parties must return confidential information

11.3 Survival

The following provisions survive termination:

  • Payment obligations for services already provided
  • Confidentiality and data protection obligations
  • Intellectual property rights and restrictions
  • Limitation of liability and indemnification

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.

12.2 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco, California.

12.3 Dispute Resolution Process

  1. Direct Negotiation: Parties will first attempt good faith negotiations
  2. Mediation: If negotiation fails, disputes will be mediated by a qualified mediator
  3. Arbitration: Unresolved disputes will be settled by binding arbitration under AAA rules
  4. Injunctive Relief: Either party may seek injunctive relief for IP or confidentiality breaches

12.4 Class Action Waiver

You waive the right to participate in class actions or representative proceedings. Disputes must be resolved individually.

13. Changes to These Terms

13.1 Modification Rights

We may update these Terms periodically to reflect changes in our services, legal requirements, or business practices. Material changes will be communicated with reasonable advance notice.

13.2 Notification Process

We will notify you of changes through:

  • Email notification to your registered address
  • Prominent notice on our website
  • In-platform notifications (where applicable)

13.3 Acceptance

Continued use of our services after changes take effect constitutes acceptance of the updated Terms. If you do not agree to changes, you may terminate your account before the effective date.

14.2 General Provisions

  • Entire Agreement: These Terms, together with your service agreement, constitute the entire agreement between the parties
  • Severability: If any provision is found unenforceable, the remainder of the Terms will remain in effect
  • Assignment: You may not assign these Terms without our written consent; we may assign with notice
  • Force Majeure: Neither party is liable for delays caused by circumstances beyond reasonable control
  • No Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement
